📝 1. English Version – Terms of Service

1.1 Registration, Company & Governing Law

UMInk Cloud (“Service”) is operated by DTNETWORK LTD, registered in England & Wales, with office at 61 Bridge Street, Kington, HR5 3DJ, UK.

You must register using a valid email address. The Service imposes no age requirement, although users uploading on behalf of minors may need to ensure legal compliance.

These Terms are governed by the laws of England and Wales; any dispute will be resolved exclusively in the English courts.

1.2 Service License

We grant you a limited, non‑exclusive, non-transferable license to access and use the Service for lawful personal or commercial use. You may upload, store, publicly share, and sell your own digital content (e.g. e‑books, art, music, software) via the paid‑sharing feature.

1.3 Storage, Credits & Revenue Share

  • Free users receive 25 GB storage and cannot create paid‑sharing links.
  • Pro Subscription provides 250 GB and access to paid‑sharing: £0.99 per 30‑day term.
  • Add‑on capacity packs:
    • 500 GB: £1.99 for 30 days
    • 1 TB: £3.99 for 30 days

Credits currency: 1 credits = £1. You can top‑up credits in Settings → Finance and use them to subscribe, purchase capacity packs, or buy other users’ paid‑sharing links.

Revenue from paid‑sharing is paid 75% to you, 25% retained by the platform. Withdrawals are made via Wise; we charge no additional fees, but Wise may levy a transaction fee.

1.4 Subscription Terms & Cancellation Rights

1.4.1 Manual Renewal, No Auto‑Renew

Subscriptions and add‑on packs are for fixed 30‑day terms, they do not auto-renew. To continue service, users must manually renew before each term ends.

1.4.2 Cooling-Off Rights under UK Law

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, service contracts entered remotely grant a 14-calendar-day cancellation right, starting the day after contract formation.

Because we do not auto-renew, the renewal cooling-off provisions in the Digital Markets, Competition and Consumers Act 2024 generally do not apply (they apply to automatic or prolonged renewal contracts).

1.4.3 Exercising Your Cancellation Right

You may cancel within 14 days for any reason, in writing or via a Model Cancellation Form available on our site. Send your request via the contact page at https://docs.um.ink/contact.

If cancellation occurs before any use (e.g. you did not create any public share or download content), you will receive a full refund. If you used the service, a pro‑rata deduction may be applied. Refunds are processed without undue delay and no later than 14 calendar days from receipt of your cancellation.

1.5 Content Moderation & Legal Compliance

We do not review uploads that are not publicly shared. Public content or content reported through the in-site “Report” button is subject to moderation.

You are solely responsible for ensuring your content complies with applicable laws (e.g. copyright, hate speech, violent or terrorist content). We reserve the right to remove content or suspend accounts at our discretion.

We also comply with UK takedown requests under legislation such as the Digital Economy Act.

1.6 Account Deletion & Data Requests

Users cannot delete their accounts or data by themselves within the platform.

To request account and data deletion, contact us via our contact page (docs.um.ink/contact) and we will process deletion upon verification.

1.7 Termination & Suspension

We may suspend or terminate accounts for violations of these TOS or applicable law, including fraudulent activity, infringement, or abusive behavior.

Upon termination, your content may be permanently deleted and is non-recoverable.

1.8 Acceptable Use

You agree not to use the Service for:

  • Uploading illegal or infringing content, malicious, or obscene material.
  • Spamming, phishing, or other fraudulent/unlawful behavior.
  • Circumventing security measures or attacking infrastructure.
  • Any misuse that harms rights, users, or operations.

1.9 Disclaimer & Limitation of Liability

The Service is provided “as is” with no guarantee of uptime, accuracy, or security, except as required by law.

To the fullest extent permitted by law, our total liability arising from or related to these Terms shall not exceed the total amount you paid us in the previous 12 months, except in cases of gross negligence or willful misconduct.

📝 2. 中文版 – 服务条款

2.1 注册与适用法律

UMInk Cloud（“服务”）由DTNETWORK LTD运营，注册于英格兰与威尔士，注册地址：Kington, 61 Bridge Street, HR5 3DJ, 英国。

用户须使用有效电子邮箱注册。无需年龄限制，但如代表他人（包括未成年人）上传内容，请自行遵守相关法律法规。

本条款适用 英格兰与威尔士法律，任何争议应提交至 英格兰法院。

2.2 服务许可

我们授予您有限、非排他、不可转让的许可，仅用于合法个人或商业用途。您可通过付费分享功能 上传、存储、公开分享及出售您自己的数字内容（如电子书、图片、音乐、软件等）。

2.3 存储额度、积分与收益分成

  • 普通用户：25 GB 存储，无付费分享权限。
  • Pro 订阅：250 GB 存储，支持付费分享，价格为 £0.99／30 天。
  • 容量包：
    • 500 GB：£1.99／30 天
    • 1 TB：£3.99／30 天

积分兑换比率：1 积分 = £1。可在“设置 → 财务”充值并用于购买订阅、容量包，或购买其他用户的付费分享内容。

平台从付费分享收入中收取 25% 服务费，余下 75% 支付给您。提现通过 Wise 进行，我们不收取额外服务费，但 Wise 可能会收取手续费用。

2.4 订阅方式与退款权利

2.4.1 手动续订，无自动续费

所有订阅与容量包均为固定 30 天周期，不自动续费。您需在周期结束前手动续费以继续使用服务。

2.4.2 根据英国法律的冷静期退款权利

根据2013 年消费者合同条例，如果远程签订服务合同，消费者拥有自签订次日起 14 个自然日内取消合同并获得退款的权利。
由于我们不提供自动续费机制，因此 《数字市场、竞争与消费者法案 2024》的续约冷静期规定不适用，因为该法案主要针对自动或长期续约合同。

2.4.3 如何行使取消权利

您可在 14 日内无理由取消合同，可通过书面形式或使用网站提供的 模型取消表格（Model Cancellation Form） 提交。请通过我们的 联系我们页面（docs.um.ink/contact）提交请求。
如果您在 14 日内未使用服务（如未创建公开分享、未下载内容），将获得 全额退款；若已使用，则按实际使用比例可能扣除部分费用后退还余额。退款将在我们确认取消后 不迟于 14 个自然日内处理。

2.5 内容审查与合规要求

我们不主动审查未公开上传的内容。对于通过公开分享功能发布的内容或被其他用户举报的内容，会进行审查。

您须保证上传内容符合法律法规（包括但不限于版权、仇恨言论、暴力或恐怖主义内容）。我们有权根据政策暂停或删除涉嫌违规的内容与账户。

针对英国法律要求的侵权投诉（如“数字经济法”），我们将依法处理。

2.6 账户删除与数据请求

用户无法自行删除账户或数据。如需删除，请通过我们的 联系页面（docs.um.ink/contact）提出申请，经核实后我们将协助删除相关数据。

2.7 终止与暂停服务

若您违反本条款、涉嫌违规或非法操作，或进行欺诈活动，我们可暂停或终止您的账户。终止后，您的数据可能被永久删除且无法恢复。

2.8 规范使用条款

您同意不将本服务用于以下行为：

  • 上传非法、侵权、恶意或淫秽内容；
  • 进行垃圾信息传播或网络钓鱼等欺诈行为；
  • 绕过安全机制或攻击系统；
  • 其他损害平台或他人权益的行为。

2.9 免责声明与责任限制

本服务按“原样”提供，我们不保证其可用性或无错误，除非法律规定。

在法律允许的范围内，我们的最高责任不超过用户在前 12 个月内向本平台支付的费用总额（重大过失与故意违法行为除外）。

3. 生效日期 / Effective Date

本条款自 2025‑08‑02 起生效。
